3. Project Engagement

3.1 Project Proposal and Agreement

All projects begin with a proposal outlining the scope of work, deliverables, timeline, and pricing. A signed agreement and initial payment are required before work commences.

3.2 Client Responsibilities

The client agrees to:

• Provide accurate and complete information necessary for the project
• Provide timely feedback and approvals
• Supply required content, images, and materials
• Make payments according to the agreed schedule
• Maintain open communication throughout the project

3.3 Project Timeline

While we strive to meet all deadlines, project timelines are estimates and may be affected by factors including client delays in providing materials or feedback, scope changes, or unforeseen technical challenges.

4. Payment Terms

4.1 Pricing

All prices are quoted in Indian Rupees (INR) unless otherwise specified. Prices are subject to change but will be honored for projects with signed agreements.

4.2 Payment Schedule

Payment terms will be specified in your project agreement. Typically:

• 50% deposit required to begin work
• Remaining 50% due upon project completion and before final delivery
• For larger projects, milestone-based payments may be arranged

4.3 Late Payments

Late payments may result in project delays or suspension. We reserve the right to charge interest on overdue amounts at a rate of 2% per month.

4.4 Refund Policy

We offer a 100% money-back guarantee if we fail to deliver the agreed-upon services. Refund requests must be made within 30 days of the project start date. Deposits are non-refundable after work has commenced, except in cases where we fail to deliver as promised.

5. Revisions and Changes

5.1 Included Revisions

Each package includes a specified number of revision rounds as outlined in your agreement. Revisions must be requested within the scope of the original project.

5.2 Additional Work

Changes beyond the original scope or additional revision rounds will be billed separately at our standard hourly rate or as mutually agreed.

6. Intellectual Property

6.1 Client Content

You retain all rights to content, materials, and information you provide to us. By providing such materials, you grant us a license to use them for the purpose of completing your project.

6.2 Final Deliverables

Upon full payment, you will own the final deliverables created specifically for your project. However, we retain the right to use the project in our portfolio and marketing materials unless otherwise agreed.

6.3 Third-Party Resources

Some projects may incorporate third-party resources (fonts, stock images, plugins, etc.). You are responsible for obtaining and maintaining any necessary licenses for these resources.

6.4 Our Tools and Methods

We retain ownership of our development tools, frameworks, code libraries, and methodologies used in creating your project.

7. Website Maintenance and Support

Post-launch support is provided as specified in your package:

• Bug fixes and technical issues will be addressed free of charge during the support period
• Content updates and feature additions may incur additional charges
• Extended support packages are available upon request

8. Hosting and Domain

Unless otherwise agreed:

• Domain registration and hosting are the client's responsibility
• We can assist with setup but do not guarantee uptime or performance of third-party hosting services
• Some packages include hosting setup assistance

9. Warranties and Disclaimers

9.1 Our Warranty

We warrant that:

• Services will be performed with reasonable skill and care
• Deliverables will substantially conform to the agreed specifications
• We have the right to provide the services

9.2 Disclaimers

Except as expressly stated:

• Services are provided "as is" without warranties of any kind
• We do not guarantee specific results or outcomes
• We are not responsible for third-party services or platforms
• Website performance may vary based on hosting, traffic, and other factors beyond our control

10. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability shall not exceed the amount paid by you for the specific services giving rise to the claim
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not responsible for loss of profits, revenue, data, or business opportunities

11. Confidentiality

We will maintain the confidentiality of your proprietary information and will not disclose it to third parties except as necessary to complete the project or as required by law.

12. Termination

12.1 Termination by Client

You may terminate the project at any time by providing written notice. You will be charged for work completed up to the termination date. Deposits are non-refundable.

12.2 Termination by WebBaba

We reserve the right to terminate a project if:

• Payment is not received as agreed
• The client fails to provide necessary materials or feedback
• The client requests work that violates laws or ethical standards

13. Indemnification

You agree to indemnify and hold WebBaba harmless from any claims, damages, or expenses arising from:

• Your use of the delivered website or materials
• Content you provide to us
• Your breach of these Terms and Conditions
• Your violation of any third-party rights

14. Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or technical failures.

15. Governing Law

These Terms and Conditions are governed by the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Mumbai, India.

16. Changes to Terms
